Terms of Service

1. Preamble
These Terms of Service (ToS) govern all services provided by ROUGUITECH LLC to its clients. By signing a quote or validating an order, the client unreservedly accepts these ToS in full. They prevail over any other conditions in any other document, except for prior, express, and written waiver.
2. Provider identification
Services are provided by ROUGUITECH LLC, operating under two legal structures depending on billing: ROUGUITECH CONSULTING (Morocco, ICE 003849187000079) for Moroccan clients; Rougui Tech LLC (New Mexico, USA) for international clients. 3. Services offered
ROUGUITECH offers web development services (showcase sites, e-commerce, custom applications), mobile development (iOS and Android), SEO and search engine optimization, technical audit, and API integration and automation. The exact scope of each mission is defined in the quote signed before work begins.
4. Quote and order
Every quote is valid for 30 days from its issue date. It becomes contractual once signed by the client (electronically or by hand) and accompanied by payment of the stated deposit. If the deposit is not paid within 15 days of signature, the quote becomes void.
5. Pricing and payment terms
Prices are expressed excluding tax, in MAD for Moroccan clients and in EUR or USD for international clients. Standard payment schedule: 40% on signature, 30% at mid-project, 30% on final delivery. For monthly retainers (maintenance, SEO), billing is at 30 days at the start of the month. Any late payment triggers application of legal interest rates and immediate suspension of services.
6. Delivery timelines
Timelines stated in the quote are indicative. They run from receipt of all elements necessary to start (content, access, validations) and the deposit. Delays attributable to the client (late validations, missing content) automatically extend the timeline without penalty. ROUGUITECH commits to informing the client of any significant delay and proposing a new schedule.
7. Client obligations
The client commits to providing, within reasonable timeframes, all information, content, technical access, and validations necessary for proper execution. The client warrants that they have the necessary rights to all elements provided (text, images, video, trademarks, logos) and that they do not infringe any third-party rights.
8. Intellectual property
Unless otherwise stated in the quote, the client becomes owner of the deliverables (source code, design, written content) upon full payment of the services. ROUGUITECH retains a right of use for reference (portfolio, case studies) unless the client objects in writing. Third-party libraries, open source frameworks, and SaaS tools used retain their own licenses.
9. Warranties and liability
ROUGUITECH guarantees deliverables conform to quote specifications for 30 days after delivery. This warranty covers bugs, malfunctions, and defects. Excluded: modifications made by the client or a third party, third-party platform changes (APIs, browsers, mobile OS), unanticipated traffic spikes, and cyberattacks. ROUGUITECH's liability is in any case limited to the total amount excluding tax invoiced for the relevant service.
10. Confidentiality
The parties mutually commit to preserving the confidentiality of all information exchanged during the mission. Personal data protection is governed by our Privacy Policy (/privacy), compliant with GDPR and Morocco's Law 09-08.
11. Force majeure
Neither party shall be held liable for delay or non-performance resulting from a case of force majeure (natural disaster, third-party infrastructure failure, conflict, pandemic, government decision). The party concerned will inform the other as soon as possible.
12. Termination
In case of serious breach of obligations by one party, the other may terminate the contract 30 days after a notice that remained without effect. Sums owed for services already performed remain due to ROUGUITECH. For monthly retainers, 30 days' notice is required.
13. Applicable law and jurisdiction
For clients invoiced via ROUGUITECH CONSULTING, Moroccan law applies and the competent courts are those of Tangier. For clients invoiced via Rougui Tech LLC, the law of the State of New Mexico (USA) applies. The parties will endeavour to resolve any dispute amicably before any court action.
